1. Agreement to Terms

By accessing or using the PRVT MKT website (prvtmkt.ai) and services, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

2. Description of Services

PRVT MKT provides Claude AI enablement services for private markets professionals, including but not limited to:

• Live webinars and educational courses on Claude AI
• Custom Claude workflow implementation and consulting
• Managed services including LP research, investor reporting, listing content generation, and property management automation
• Access to the PRVT MKT client platform

3. User Accounts

To access certain features of our services, you may be required to create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. You agree to notify us immediately of any unauthorized use.

4. Acceptable Use

You agree not to:

• Use our services for any unlawful purpose
• Share, redistribute, or resell any proprietary content, prompts, workflows, or materials provided through our services without written permission
• Attempt to reverse-engineer, decompile, or extract our proprietary workflows or methodologies
• Interfere with or disrupt the integrity of our platform or services
• Misrepresent your identity or affiliation

5. Intellectual Property

All content, materials, workflows, prompt libraries, and methodologies provided by PRVT MKT are the intellectual property of PRVT MKT and are protected by applicable intellectual property laws. Clients retain ownership of their own data and outputs generated using our services.

6. Payment Terms

Fees for our services are as quoted or agreed upon in writing. Payment is due according to the terms specified in your service agreement. We reserve the right to suspend access for overdue accounts.

7. Confidentiality

We treat all client data and business information as confidential. We will not share, sell, or disclose your proprietary information to third parties except as required by law or as necessary to provide our services.

8. Disclaimer of Warranties

Our services are provided “as is” and “as available.” PRVT MKT makes no warranties, express or implied, regarding the accuracy, reliability, or completeness of AI-generated outputs. Claude AI outputs should be reviewed and validated by qualified professionals before use in business decisions.

9. Limitation of Liability

To the fullest extent permitted by law, PRVT MKT shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from the use of our services, including but not limited to errors in AI-generated content, business decisions made based on AI outputs, or service interruptions.

10. Termination

Either party may terminate the service relationship with written notice as specified in the applicable service agreement. Upon termination, your access to the PRVT MKT platform and materials will be revoked. Any outstanding fees remain due.

11. Governing Law

These terms shall be governed by and construed in accordance with the laws of the State of Washington, without regard to conflict of law principles.

12. Changes to Terms

We reserve the right to modify these terms at any time. Changes will be posted on this page with an updated effective date. Your continued use of our services after changes constitutes acceptance of the revised terms.
